Beta Program Terms
These Beta Program Terms (Beta Terms) govern your access to and use of the pre-release (Beta) version of ACGRAM Quotrova™ (the Beta Service), offered by ACGRAM LLC, a Wyoming limited liability company (ACGRAM, we, us, or our). These Beta Terms supplement, and are in addition to, ACGRAM's Terms of Service and End User License Agreement (EULA). By enabling, installing, accessing, or using the Beta Service, you (you, Participant, or your) agree to these Beta Terms. Where these Beta Terms conflict with the Terms of Service or EULA, these Beta Terms control for the Beta Service only. If you do not agree, do not use the Beta Service.
1. BETA / PRE-RELEASE STATUS
The Beta Service is a pre-release, in-development version provided for evaluation and feedback. It may contain bugs, errors, and incomplete or changing features, and it has not completed the testing and validation ACGRAM applies to a generally available release. It is not a final, generally available (GA) product.
2. ELIGIBILITY
The Beta Service is offered to verified U.S. business users acting on behalf of a business, for internal business evaluation only. It is not for personal, family, or household use, and is not directed to consumers or to children.
3. LICENSE
Subject to these Beta Terms, ACGRAM grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the Beta Service solely to evaluate it and provide feedback during the Beta Period (Section 12). All restrictions in the EULA apply.
4. NO WARRANTY — AS IS
THE BETA SERVICE IS PROVIDED AS IS AND AS AVAILABLE, WITH ALL FAULTS AND WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. You use the Beta Service at your own risk.
5. NO SLA OR AVAILABILITY COMMITMENT
The Beta Service carries no service-level agreement, uptime, support, or availability commitment. It may be slow, interrupted, or unavailable at any time, with or without notice.
6. CHANGES AND DISCONTINUATION
ACGRAM may add, modify, suspend, or discontinue any part of the Beta Service at any time, with or without notice. The Beta Service, or any feature in it, may never become generally available. Pricing, features, and limits are not final.
7. YOUR DATA AND RESPONSIBILITIES
Do not use the Beta Service as a system of record or for production-critical, regulated, or irreplaceable data. You are responsible for the data and content you submit, for having lawful authority to submit it, and for maintaining your own independent backups. Beta data may be reset, lost, or deleted, and may not migrate to the GA service. ACGRAM is not liable for any loss of, or inability to access, data in the Beta Service.
8. FEEDBACK
You may choose to provide feedback, ideas, or suggestions (Feedback). You grant ACGRAM a perpetual, irrevocable, worldwide, royalty-free license to use, modify, and incorporate Feedback into any ACGRAM product without restriction or obligation to you. Feedback is not your confidential information.
9. CONFIDENTIALITY
The Beta Service and any non-public features, performance, or information disclosed in connection with it are ACGRAM's confidential information. You will not disclose them to third parties or publish benchmarks or comparisons without ACGRAM's prior written consent, except as required by law.
10. BUYER-RISK SUPPORT — ADVISORY ONLY
Buyer Risk Support, risk-scoring, and audit features in the Beta Service (including Shield™) are advisory only, with human-in-the-loop review, and may be incomplete or change during Beta. The Beta Service is software that supports B2B quoting operations; it is not legal advice, a compliance program, a certification, or a guarantee of compliance with any law, regulation, or standard. You remain solely responsible for your own compliance. Buyer Risk Support (part of Shield™) screens the buyer company and buyer name on your quotes against an ingested copy of the U.S. Treasury OFAC Specially Designated Nationals (SDN) List, and routes potential matches to human-in-the-loop review with the decision recorded to a tamper-evident audit trail. This supports your own sanctions-screening program operations. It is NOT a legal determination, a regulatory certification, an audit attestation, or sanctions clearance, and it does not make you or ACGRAM compliant with any sanctions program. Coverage is limited: name-based matching on two fields, against the SDN list only. It does not screen non-SDN or consolidated lists, does not derive ownership under the 50 Percent Rule, and does not screen addresses, email addresses, beneficial owners, or your buyer’s own customers. Confirming that a customer is not a sanctioned party, and determining what any sanctions program requires of you, remains your responsibility and your counsel’s. Search OFAC directly at https://sanctionssearch.ofac.treas.gov and review the active programs at https://ofac.treasury.gov/sanctions-programs-and-country-information. Separately, Quotrova is a quoting platform and not a payment or card processor: payment-security and card-fraud screening are performed by the payment provider you connect, not by Quotrova.
11. FEES
During the Beta Period, the Beta Service is provided either at no charge or at the beta pricing shown at sign-up, as indicated in the app. Beta pricing is promotional and not final and may change at or before general availability on notice. Billing for any paid plan is handled as described in the Terms of Service and the applicable platform (e.g., Shopify) billing.
12. BETA PERIOD AND CONVERSION TO GA
The Beta Period begins when you first access the Beta Service and continues until ACGRAM ends it or releases the GA service. At GA, your use will be governed by the then-current Terms of Service, EULA, and pricing, and these Beta Terms will no longer apply. ACGRAM will describe any data transition at that time.
13. LIMITATION OF LIABILITY
TO THE MAXIMUM EXTENT PERMITTED BY LAW, ACGRAM SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOSS OF PROFITS, REVENUE, OR DATA, ARISING FROM THE BETA SERVICE. ACGRAM'S TOTAL AGGREGATE LIABILITY ARISING FROM OR RELATED TO THE BETA SERVICE SHALL NOT EXCEED THE FEES YOU PAID FOR THE BETA SERVICE IN THE THREE (3) MONTHS PRECEDING THE CLAIM. THIS SECTION DOES NOT LIMIT LIABILITY THAT CANNOT BE LIMITED UNDER APPLICABLE LAW.
14. TERMINATION
Either party may terminate participation in the Beta Program at any time, for any reason. ACGRAM may suspend or revoke your access immediately. On termination, your license ends and you must stop using the Beta Service; Sections 4, 7, 8, 9, 10, 13, and 15 survive.
15. GOVERNING LAW
These Beta Terms are governed by the laws of the State of Wyoming, USA, without regard to conflict-of-law rules, consistent with the Terms of Service. For EU/UK users, mandatory consumer-protection laws of your jurisdiction continue to apply.
